1. Purpose of the company
The company provides the opportunity for
suppliers of products or services (“principals”) to enter into transactions with
users of this service “buyers”).
2. Legal framework covering the provision of services rendered
Convexity provides the introduction of partners
and clients solely covered by an arrangement and contract with
the suppliers of the
products („principals“). These contracts are based
on the principals of the laws covering trade representatives. In
connection
with the activities Convexity provides Data of the client (buyer
of the services or products) to the principals (seller of the services
or products). The buyer agrees that his data will be supplied to
the sellers. This however will only be done in the scope necessary
in conjunction with the purchase of this investment product or
service.
There will be no contracts between buyers of products or services
and Convexity except if an agency-, advisory or other contract
is
specifically concluded between the buyer and Convexity. This has
to be done in writing.
3. Scope
The agency work of Convexity is solely
based on the data supplied by the principals. Convexity has not
analysed these data
with
regard
to its legal-, tax or economic suitability and has not provided
any or asked for detailed statements from lawyers or accountants
as to the suitability nor have these documents or prospectuses
been
checked whether they are complete or accurate. Convexity just furnishes
the potential buyer with information and data provided by its
principals
which it believes are true and complete. If the principals have
not mentioned the information provided in §§ 10 (accounting
rules) and 11 (Publicity requirements) of the rules governing the
brokers and loan- and investment advisors, property developers then
Convexity may exempted from the rules stated in § 11 of the
law.
4. Guarantee claims
Convexity cannot assume any liability for the contents of prospectuses,
contracts or other information which have been made available by
its principals. It also cannot assure or guarantee the success of
these products. Furthermore, no guarantee may be construed as a
result of the trust placed in Convexity.
